Key changes:

  • Capital threshold:Raised from ¥5M to ¥30M
  • Full-time employee:Must hire one full-time employee (limited to Japanese nationals, permanent residents, spouses of Japanese nationals, etc.)
  • Management experience / degree:3+ years of management experience, or a related master's / doctoral / professional degree
  • Japanese proficiency:Reaching B2 or above

What documents are needed for a Business Manager visa?

Typically prepare:

  • Application for a Certificate of Eligibility
  • Certificate of registered matters (company registration transcript)
  • Copy of the articles
  • Business plan (including a 3-year financial projection)

The usual review period is 1–3 months. During peak seasons (Apr–Jun, Oct–Dec) it can extend to 4 months. There's no express lane, but submitting complete documents in one go greatly shortens the back-and-forth.

I hold a work visa — can I start a company on the side in Japan?

Holders of work visas such as "Engineer/Specialist in Humanities/International Services"In principle, you may not do paid work outside what your visa permits. To serve as a director of your own company on the side, you must first obtain work permission or switch to a "Business Manager" visa.

What kinds of companies can foreigners form in Japan?

Main options:

  • Stock corporation (KK):Most common, high credibility, formation cost about ¥250,000 (incl. registration tax)
  • LLC (GK):Lower formation cost (~¥100,000), flexible decision-making, suited to small scale
  • General incorporated association:Non-profit organization

From February 2, 2026, can I choose a weekend or holiday as the incorporation date?

Yes.The Commercial Registration Rule reform effective February 2, 2026 allows Saturdays, Sundays, holidays, and the year-end/New-Year period to be registered as the incorporation date. The application must be filed with the Legal Affairs Bureau within the reception hours (08:30–17:15) of the "last open business day" (the previous weekday) before that holiday.

Example: to set Feb 11 (National Foundation Day) as the incorporation date → file on Feb 10 (a weekday).

How soon after formation can I start operating?

You can start operating once registration is done, but before actually doing business you'll need to complete:

  • Corporate bank account opening (foreign shareholders typically need 2–4 weeks)
  • Various filings with the tax office, metropolitan tax office, pension office, etc.
  • If hiring employees: labor-insurance procedures
  • Industry-specific: license/notification filings (e.g., food service, brokerage)

How is the bookkeeping fee calculated?

By annual sales (tax-incl. prices):

  • ¥10M or less:¥11,000/mo
  • ¥10M–¥30M:¥22,000/mo
  • ¥30M–¥50M:¥33,000/mo
  • Over ¥50M: by negotiation

Billing period for the first contract: the contract date On/before the 15th: includes that monthAfter the 15th: starts the next month, counting to the fiscal year-end. If the period is under 6 months, it's billed as 7 months.

What is the Invoice system? Does my company need to register?

The Invoice (qualified invoice) system is Japan's new consumption-tax regime that began in October 2023.

  • If your client is B2B and wants to claim an input tax credit → Registration recommended
  • If your clients are mostly general consumers (B2C) → you can hold off on registering
  • After registering, small businesses (taxable sales under ¥10M) may elect the "30% special rule" for Reiwa 9–10 to ease the burden

What is year-end tax filing and when is it due?

Year-end tax filing is the annual closing return that every company must file Within 2 months of the fiscal year-end File with the tax office:

  • Corporate tax return
  • Local tax return
  • Consumption-tax return (if a taxable enterprise)

Example: March fiscal year-end → file by end of May.

How does the Electronic Bookkeeping Act affect me?

Since January 2024,Invoices and contracts received by email or online must be stored electronically. Printing to paper for storage is no longer accepted. Storage requirements include:

  • Ensuring authenticity (timestamp or handling policy)
  • Ensuring visibility (searchable)
  • Period: 7–10 years
